How Access Reshapes Portfolio Construction – Evergreen Fund Structures, Interval and Tender Offer Mechanics, Fee Transparency & Liquidity Tiering

A portfolio confined to publicly traded stocks and bonds captures only a shrinking, increasingly unrepresentative slice of the global investable universe. The overwhelming majority of companies with meaningful revenue, both in the U.S. and globally, are privately held, and they are staying private for far longer than they once did.

The Shift, by the Numbers

The number of companies listed on U.S. exchanges has declined from a late-1990s peak of nearly 8,000 to just under 4,800 as of 2024. Of those, only about 2,800 generate more than $100 million in annual revenue. By contrast, more than 18,000 privately held U.S. companies meet that exact same threshold.1,2 The average age of a company at the time of its IPO has also stretched from 4.5 years in 1999 to approximately 12 years as of 2024.2

For decades, the practical response to that shift was straightforward. Private markets existed, but the access mechanics made them irrelevant for most individual investors. Lockups of 10 or more years, unpredictable capital calls, and delayed tax reporting, Schedule K-1 in particular, kept private investing confined to institutions. That access problem, not the merits of the underlying asset classes, is what has changed in recent years. A new generation of continuously offered, evergreen fund structures has narrowed the gap between how a private allocation behaves operationally and how a familiar public fund does, without erasing the real differences that remain.

Despite this new access, a significant disparity persists in who actually uses it. Institutions and very-high-net-worth families with $30 million or more allocate an average of 22% and 19% of their portfolios to alternatives, respectively.1 Yet investors in the $5 million to $30 million range, a segment overlapping heavily with successful founders and high-income professionals, allocate a mere 2%. Because evergreen structures have been available to this segment for years, this is no longer an access gap. It is an advisory gap.

Understanding this space is particularly relevant now, as the pool of capital allocated to private investments is set to expand. Prompted by an August 2025 executive order, a March 2026 Department of Labor proposed rule outlines how fiduciaries can integrate alternative assets into 401(k)s and other defined-contribution plans, which hold nearly $14 trillion in assets and remain almost entirely confined to public markets.3 Final rules are still pending and the exact fund structures remain unsettled, but the trajectory is clear.

The Traditional Access Problem

Private markets have always been available to investors willing to accept the terms institutions accept. Those terms were, and largely remain, demanding for most individual investors.

  • Unpredictable capital calls: A drawdown fund does not accept a single upfront check. A general partner draws capital over several years, on a schedule the investor does not control.
  • Multi-year lockups: Classic private equity and private credit drawdown structures typically run 10 or more years from initial commitment to final distribution, with limited or no ability to exit early.
  • The J-curve: Fees and early expenses are incurred before portfolio companies mature and are sold. Drawdown fund returns are typically negative or flat in the early years before accelerating later in the fund's life. An investor evaluating a fund early sees a distorted picture of the eventual result.
  • K-1 tax reporting delays: Traditional partnership-structured private funds report taxable income via Schedule K-1. This form frequently arrives well after the individual filing deadline and essentially mandates a tax extension.
  • Vintage year concentration: A single commitment to a single fund exposes an investor to that fund's specific vintage year. Achieving genuine diversification across market cycles has historically required committing to a rotating series of new funds over many years.

These constraints are a rational response to the structure of the underlying assets. What has changed is that they are no longer the only way to access the asset class.

Evergreen Structures Emerge

Continuously offered, perpetual-life evergreen funds address the access problem directly, without changing the underlying economics of the private assets they hold. An evergreen fund is typically fully funded at the time of purchase. There is no capital call schedule, no multi-year commitment period, and no uncertainty about when committed capital will actually be invested.

Access to these evergreen funds typically requires investors to work through a financial advisor who has an established connection with the fund manager, and not every advisor does.4 That relationship often allows access to a lower-cost share class, often labeled Class I, at a minimum well below the fund's publicly stated threshold. Fund managers favor this distribution model because the underlying strategies are typically more complex than a standard mutual fund and the redemption mechanics differ meaningfully by structure, both of which benefit from being explained by an advisor before an investor commits capital. That distribution pattern is part of why the due diligence burden, and the fiduciary responsibility for evaluating these vehicles, sits with the advisor.

Because an evergreen fund accepts new capital on an ongoing basis rather than closing after a single offering period, it also naturally provides vintage year diversification within a single vehicle.

Extending the Efficient Frontier

The practical case for these structures is that they can change what a portfolio achieves, not just how it feels to hold. A long-run comparison of traditional portfolios against otherwise similar portfolios that substitute in a blend of hedge fund, private equity, and real estate strategies shows the shift concretely, with the blended portfolios producing a higher return at every comparable level of risk. That volatility reduction deserves a direct caveat, however. Private assets are priced on quarterly manager marks rather than daily market pricing, which mechanically smooths their measured volatility, so the shift shown is partly genuine diversification and partly an artifact of infrequent pricing. What it does not settle is whether that improvement is fully available to an investor once fees, structure, and execution are accounted for.

Whether these historical improvements translate directly to the newer semiliquid wrappers this article has focused on, as opposed to the traditional drawdown structure, is a separate question with genuinely mixed evidence. Independent analysis shows most semiliquid private equity and venture capital funds have not yet outperformed the S&P 500, though the sample size remains small and many funds are only a few years old.4 Semiliquid private credit funds have fared better against unleveraged public benchmarks, but a meaningful share of that outperformance is driven by fund-level leverage rather than superior loan selection.4 None of this argues against integrating private assets. It simply means evaluating each specific fund on its own merits rather than assuming historical private market premiums automatically transfer to every new semiliquid vehicle.

The Regulatory & Tax Framework Behind Evergreen Vehicles

The access and tax advantages evergreen structures offer are not arbitrary. Two separate federal statutes determine what a fund actually is.

  • The Securities Act of 1933: Governs how a fund is offered and sold, the registration of the security itself.
  • The Investment Company Act of 1940: Governs how a fund operates once money is inside it, including leverage limits, board governance, and portfolio liquidity rules.

A fund manager calling a fund "SEC-registered" is usually referring to the first, but it is the second that actually constrains what the fund can do.

Fund Types Under the 1940 Act

  • Public mutual funds: Built for daily redemptions, a design with real tradeoffs. A mutual fund is generally barred from holding more than 15% of its assets in illiquid investments, and it can only borrow from banks, subject to a 300% asset coverage requirement, approximately one dollar of debt for every two dollars of net assets. Those two constraints, not a stricter leverage ceiling, are what keep a mutual fund out of private markets almost entirely.
  • Interval and tender offer funds: Structured as closed-end funds, not built for daily redemptions, which frees them from the 15% illiquid-asset cap and the bank-only borrowing restriction, even though they answer to that same 300% asset coverage requirement a mutual fund does. That combination is what actually makes room for a private allocation inside the fund.
  • Non-traded BDCs: A specialized election under the 1940 Act gives a BDC access to a materially higher leverage ceiling than a standard closed-end fund.

A special case: non-traded REITs. REITs sit outside this framework entirely, excluded from the Investment Company Act by statute, which is why REIT leverage is set by prospectus and board policy rather than a hard statutory ceiling. On the tax side, however, REITs generally still land in the same place as the funds above. They issue a Form 1099, not through regulated investment company status but through a separate, real estate-specific election under the tax code.

Tax Reporting Implications

1099 issuers: Mutual funds, interval funds, and BDCs generally qualify as regulated investment companies under the tax code, which is what allows them to issue a simple Form 1099 rather than a Schedule K-1.

Tender offer funds, a variable outcome: This is the one category where tax treatment genuinely varies fund by fund. If the underlying strategy cannot meet the diversification and income tests a regulated investment company must satisfy, often the case for a concentrated private equity or venture strategy, the fund manager structures the fund as a partnership instead, and investors receive a K-1. Two funds carrying the identical "tender offer fund" label can therefore report taxes in entirely different ways, a genuine due diligence question rather than an assumption to make from the wrapper name alone.

Interval Funds vs. Tender Funds — The Real Differences

Evergreen structures are not a single, uniform product. The two most common registered vehicles, interval funds and tender offer funds, share the core evergreen features described above, but differ meaningfully in how, and how reliably, they return capital to an investor who wants out.

The two repurchase mechanisms also rest on different legal authority. Interval funds redeem shares under a rule specific to the Investment Company Act of 1940; tender offer funds conduct their redemptions under a separate rule of the Securities Exchange Act of 1934, a statute otherwise outside the scope of this article.

Neither structure is categorically superior. An interval fund's statutory floor offers more predictable liquidity mechanics. A tender offer fund's board discretion can, in practice, be used flexibly and generously by a well-capitalized fund manager, but that flexibility is a feature of manager behavior, not a contractual guarantee.

Structural Risks in Evergreen Vehicles

The access problem evergreen structures solve is real, but it is not solved for free. A prospective investor should weigh each of the following against the access and reporting benefits already described:

  • Cash drag: A liquidity sleeve of cash, public equities, or liquid credit funds periodic redemptions, but it also dilutes exposure to the underlying private assets, creating a return drag relative to a drawdown fund that stays fully invested in illiquid holdings throughout its life.4
  • Valuation Process: The private funds and companies an evergreen vehicle holds are typically marked by their own underlying managers on a quarterly basis, but the evergreen fund itself prices its own net asset value daily or monthly, well ahead of that next quarterly mark. Bridging that gap falls to the evergreen fund's own valuation process, and two managers holding similar underlying assets can arrive at meaningfully different interim marks depending on how rigorous that process is, a real difference to understand before comparing two funds' reported returns directly. The same gap affects the price an investor pays or receives at entry and exit, though that effect tends to even out over a longer holding period.
  • Gated liquidity: An interval fund must offer to repurchase a board-determined percentage of its shares each quarter, set within a range of 5% to 25%, and that offer is mandatory once announced. What is not guaranteed is how much of an individual investor's own request gets filled, since the offer amount applies to the fund as a whole and requests exceeding it are prorated across every investor. A tender offer fund carries no equivalent mandatory floor; its board can reduce, delay, or decline a tender entirely at its own discretion.
  • Unfunded commitments: An evergreen fund that itself invests in underlying drawdown funds carries its own binding obligation to fund future capital calls, and the timing is not always predictable. A capital call can land in the same period as a wave of investor redemptions, straining the fund's liquidity sleeve from both directions at once.
  • Incentive to deploy capital: A manager is generally incentivized to keep as little cash on hand as possible outside the liquidity sleeve. If new subscriptions outpace attractive deal flow, that incentive can pressure a manager toward weaker opportunities simply to keep capital working.4
Cash Drag Hits Credit and Equity Differently

The cash drag and gated liquidity risks above apply unevenly across asset classes. Private credit generates organic cash through rolling loan maturities and interest, which reduces how much of a liquidity sleeve it actually needs to fund ordinary redemptions. Private equity or venture has no equivalent income stream and must rely more heavily on its cash sleeve and other liquidity mechanisms to meet redemptions.

Fees, Incentives, and Due Diligence

Semiliquid evergreen funds carry meaningfully higher costs than the public funds an investor is likely comparing them against. Average annual expense ratios for interval and tender offer funds run near 3%, compared with approximately 0.4% for passive public funds and closer to 1% for active public strategies.4 Evaluating an evergreen vehicle also requires looking past that headline number to a handful of additional pricing mechanics:

  • Performance fees: A fund restricted to qualified clients can charge a performance fee after a hurdle rate, and sometimes this comes with a catch-up provision, making it larger than it may appear at first.
  • Acquired fund fees and expenses: An evergreen fund structured as a fund of funds must disclose the acquired funds' own fees and expenses in the prospectus. This adds to the total fees and expenses.
  • Fees on leverage: Some larger semiliquid funds charge fees against total assets, including assets purchased with borrowed money, rather than against net assets, which can reward a manager for adding leverage regardless of whether it is being used productively.
  • Launch-period fee waivers: Many funds voluntarily waive a portion of their stated fee during the first year or so after launch, applied uniformly across every investor in a share class, to help the fund raise capital faster while it builds toward scale.

Tax Efficiency and Custodial Reporting

Where a private allocation sits, which account holds it, should be a deliberate decision. Private credit distributions are generally taxed as ordinary income rather than at preferential capital gains rates, which makes a tax-deferred account like an IRA a natural home for that slice of a portfolio. Equity-oriented and higher-growth evergreen strategies fit more naturally in a taxable account, where any gains that do materialize can benefit from long-term capital gains treatment instead. Some tender offer funds report through a Schedule K-1 as discussed earlier, and these carry the usual complications that come with K-1 reporting, potential multi-state filing obligations, and the risk of unrelated business taxable income (UBTI) if the fund uses leverage and is held inside an IRA.

For a fund with significant growth potential, splitting a position across both account types offers a distinct strategic advantage. Holding a portion inside an IRA alongside a taxable holding provides the flexibility to reduce the overall position size without triggering a taxable event. A position held entirely in a taxable account lacks this flexibility.

Custodians increasingly integrate these holdings directly into an investor's standard account alongside public assets. While this centralized reporting is a practical improvement, it does not alter the underlying liquidity terms. Viewing an evergreen fund next to a daily-priced ETF can create a false assumption regarding how quickly those respective assets can be converted to cash.

In practice, platform integration splits into two tiers with distinct tax reporting outcomes. Interval funds and certain tender offer funds sit on a tightly integrated tier where tax reporting consolidates into the custodian's standard year-end 1099. For that tier, tax filing is no different from holding a public fund, since the position's tax data imports directly into standard tax preparation software along with everything else on the 1099. Other tender offer funds, along with private placement funds generally, sit on a looser tier. The position is still fully visible, valuable in its own right after a death in the family or a similar event, but each fund issues its own 1099 or K-1 rather than folding into the custodian's consolidated tax form. Either way, the underlying position data still flows into whatever reporting system an advisor uses, so the performance, asset allocation, cash flow, and gains are tracked cohesively across the entire portfolio.

A Structured Liquidity Stack

A private allocation is often sized as a flat percentage of net worth, but that shorthand ignores how differently each holding actually behaves when a household needs cash. A more useful approach organizes a household's holdings into tiers by how quickly and reliably each one converts to cash, with each tier sized against a specific need rather than a general comfort level. The tiers are not fully sealed off from one another, either. Many Tier 3 and Tier 4 holdings pay ongoing income, interest from private credit, distributions from real estate and infrastructure strategies, that reaches the investor over time regardless of whether the fund itself permits a redemption, and that income can meaningfully reduce how much Tier 1 needs to hold on its own.

  • Tier 1, Cash & Cash Equivalents: Money market funds and short-duration bonds, sized to cover near-term living expenses, an emergency reserve, and any capital calls Tier 4 could generate in the coming year.
  • Tier 2, Liquid Public Markets: Publicly traded equities and ETFs. These convert to cash within a day or two, but unlike Tier 1, accessing them means selling at whatever price the market happens to offer that day and potentially realizing a taxable gain or loss.
  • Tier 3, Semiliquid / Evergreen: Interval funds, tender offer funds, and non-traded BDCs and REITs, where quarterly redemptions are typically capped around 5% of shares outstanding. Sized so that a full suspension of redemptions does not force a cash shortfall.
  • Tier 4, Locked / Private Placements: Traditional closed-end private equity, private credit, and real estate drawdown funds, sized against total unfunded commitment capacity across every active fund, not against current net worth alone.

Directly owned real estate sits outside this framework entirely. A fund has a defined life and an eventual liquidation event; a directly held property has neither, its liquidity depends on finding a buyer at an acceptable price on an unpredictable timeline, which in practice makes it less liquid than Tier 4. Its rental income can still supplement Tier 1 in the same way income from Tiers 2 through 4 does, but its principal should not be counted on for a specific liquidity need.

Consider a household with commitments spread across all four tiers. A genuine tail scenario, though not a typical one, is a Tier 4 fund issuing an unscheduled capital call the same quarter a Tier 3 fund gates redemptions and a planned expense comes due. Different managers, vintages, and strategies rarely move in lockstep, but the scenario is real enough to size against. The question that matters: do Tier 1 and Tier 2 together cover that combination without leaving the household unable to access capital from Tier 3 or Tier 4 exactly when it is needed? If not, Tier 1 and Tier 2 combined are undersized, regardless of how attractive the return profiles above them look.

Execution and Coordination

Expanding the investable universe beyond public equities and fixed income alters what a portfolio can achieve. The benefit only materializes when the illiquidity embedded in a private allocation, whatever form it takes, is deliberately sized against a family's actual liquidity need rather than treated as a fixed percentage borrowed from an industry survey or a peer's portfolio.

Capturing that benefit requires getting two things right:

  • The investment decision: Manager selection, due diligence, and portfolio fit as a single, unified decision made before capital is committed.
  • The ongoing oversight: Once capital is deployed, the position requires continuous attention. That means monitoring fund performance and structural or valuation concerns at the manager level, deciding whether to hold, reduce, or exit in favor of a better alternative entering the market, evaluating tax implications along the way, and navigating redemption windows as they open.

Both the investment decision and the ongoing oversight that follows are best carried out by the family's financial advisor, someone experienced with these funds, with full visibility into the family's finances, and a central role in the family's overall financial plan.

Evergreen vehicles have narrowed the operational gap between public and private markets. They have not, and should not be expected to, eliminate the fundamental tradeoff between liquidity and return.

Ultimately, true wealth is not merely accumulated; it requires deliberate optimization of the foundational mechanics of how wealth is managed, taxed, protected, and transitioned across legal boundaries to ensure it sits right on that efficient frontier.
